Renderosity offers a complete brokering system designed to help you sell your Digital Products.

Digital Vendors are provided storage space, advertising space with banners and front page exposure, sales reporting systems, customer communications, customer support, and much more.

Renderosity will host your Digital Downloadable Softgoods in the MarketPlace. (Digital Downloadable Softgoods are defined as a digital softgood that is downloaded to ones computer. These softgoods will be referred to as "Product or Digital Product" in this document and other documents found on Renderosity) Digital Products are protected by Renderosity's secure online distribution system to ensure accurate monthly payments and Digital Product security.

Payment

We also provide a very secure on-line purchasing system for your customers.

Payment for Digital Products is as follows:

• 50%/50% Nonexclusive
• 50%/50% Exclusive *
• 60%/40% Exclusive for Top Selling vendors*, **
• 70%/30% Software Packages or Utility Programs

* Exclusive means the product content is sold only at Renderosity. If the exclusivity arrangement is not being followed by the vendor, we reserve the right to end the exclusivity agreement and revert back to the nonexclusive royalty agreement retroactive to the first day of the current month. Vendors with an Exclusive product get an extra FREE banner ad and more aggressive product exposure throughout the MarketPlace.

** The Top Selling vendors listing is updated the first day of each month and reflects the Top 50 vendors. Exclusive products uploaded while being listed as a Top Seller will receive a 60%/40% price split.

The license must be included exactly as found below in your archive file. The license should not be changed in any way. This provides protection to both vendors and buyers from unscrupulous licenses.

Digital Products will be tested and approved by the MarketPlace Testing team before being release into the MarketPlace. This is to insure that the products work/function as advertised and that it meets the MarketPlace guidelines. If the review staff or testers encounter any problems with your submission, you may be required to fix the product in order for the product to be released or your product may be declined.

Agreement

"Upload Agreement" for Renderosity Marketplace

This is a legal and binding agreement between you (the “Vendor”) and Bondware, Inc. (“Bondware”). By uploading any file (the “Product”) to Bondware, you have conclusively accepted all the terms and conditions of this Vendor Product Upload Agreement (the “Agreement”).

Uploading any Product grants Bondware at its discretion a limited, non-exclusive, transferable license to market and publish the Product on its Renderosity website. The Vendor agrees that he/she has uploaded the Product for the purpose of sale on the Renderosity website. The Vendor agrees that buyers of the Product through Renderosity are granted a limited, non-exclusive, non-transferable license as described in the End User License Agreement (EULA) for Renderosity MarketPlace Items. The Vendor agrees and understands that Renderosity sales and shared coupon discounts are subtracted before the Vendors' splits are calculated.

OWNERSHIP:
By uploading a Product, the Vendor expressly represents and warrants to Bondware that the Vendor is the sole owner of the intellectual property being uploaded. The only exception is if the Vendor has the legal right to sell the intellectual property, and places documented proof on file at Renderosity of such before uploading the product. The Vendor further represents and warrants to Bondware that the Vendor has not used or copied any intellectual property of another and that the uploaded Product does not infringe on any copyrights or Trademarks.

COPYRIGHT CLAIMS:
By uploading the Product to sell on the Renderosity website, the Vendor agrees to Renderosity’s copyright policy and understands that any copyright claim relating to the Vendor’s item may result in Renderosity’s appointing a designated agent to evaluate the copyright claim. Pending a resolution of the dispute, all payments for the Product shall be suspended. If the designated agent determines that the Product violates Renderosity’s copyright policy, the Vendor shall be liable to Renderosity for all payments made to Vendor from sales of the Product, the full amount of any product refunds and the costs of the designated agent’s services.

Bondware and its designated copyright agents will act on behalf of the Vendors for filing DMCA claims for illegal product distribution at other sites, and file cease and desist letters with sites that do not comply with DMCA claims. This update is retroactive to active products in the Marketplace.

INDEMNIFICATION:
The Vendor hereby agrees to indemnify Bondware and its directors, officers, agents, and employees and to hold each of them harmless in all respects, including costs and attorney’s fees, from and against any and all claims, demands, suits, or causes of action of whatever kind or nature and resulting settlements, awards, or judgments resulting from any breach by the Vendor of the Agreement. This indemnity shall survive the termination of the Agreement.

GOVERNING LAW:
The laws of the State of Tennessee shall govern the Agreement. For the purposes of the Agreement, each party hereby consents to the personal jurisdiction and exclusive venue of any court located in Rutherford County, Tennessee.

SEVERABILITY:
The provisions of this Agreement are severable. If any provision of the Agreement is for any reason held to be invalid, illegal, or unenforceable, the remaining provisions of this Agreement shall be unimpaired and continue in full force and effect, and, to the maximum extent permitted by law, the invalid, illegal, or unenforceable provision shall be replaced by a mutually acceptable provision, which, being valid, legal, and enforceable, comes closest to the intention of the parties underlying the invalid, illegal, or unenforceable provision.

Renderosity accepts products from owners or administrators of other brokered sites, but may request that a contract be completed. Renderosity reserves the right to make changes to the above listed guidelines at anytime.
